Torrington Players Our Constitution

 

The Society shall be called THE TORRINGTON PLAYERS

 

The object of the Society is for the encouragement of dramatic art.

 

Membership

Membership of the Society shall be open to all people and welcome new members regardless of gender, ethnicity, creed or age. This will comprise of:-

A President, who may be adopted annually.

Ordinary Members

Junior Members, (those who are under the age of 18 years or who are in full time education.)

 

The Committee has the right to refuse membership.

 

Expulsion of Members

The Committee may, by a unanimous vote remove the name of any member from the Membership list who has persistently neglected their work undertaken by The Torrington Players, or whose conduct considers likely to endanger the welfare of The Torrington Players. The individual shall have the right to be heard by the Committee, accompanied by a friend before the final decision is made. 

 

Subscriptions

Subscriptions are payable at the time of the A.G.M. to the Treasurer.

 This covers one full year of membership.

 Junior member shall pay 50%of the Ordinary rate. 

 

Non-Payment of Subscriptions

The Committee shall have the power by a bare majority to suspend any member whose subscription remains unpaid after ( three months), in any year from exercising all or any of their privileges of membership until the subscription is paid.

 

Officers

The Executive Officers of the Society shall be :-

a Chairperson

a Secretary/ Minute Secretary

a Treasurer

a Membership Secretary

all of whom shall be elected at the A.G.M. for one year.

      (b) However the Chairperson and Treasurer may serve for a maximum of three consecutive years, unless invited by the whole committee to put their name forward for  re re-election, or if there are no other nominations .

 

The Committee 

The Committee shall consist of the Executive Officers and up to five elected persons who shall retire annually but be eligible for re-election.

The Committee may co-opt other persons if desirable.

The Committee has control over the finances of the Society.

No activity shall take place under the name of the Society without the approval of the Committee.

Every matter shall be determined by a majority voting of the Committee. In the event of equality of voting the Chairperson will have a second casting vote.

The Committee may alter the rules for the conduct of their business, the summoning and conduct of their meetings and the custody of documents. No rule can be made which is inconsistent with the constitution.

The Committee may appoint sub-committees consisting of two or three Committee members together with interested parties to make inquiries and organising performances of functions if this is deemed to be more convenient. Proceedings from these sub-committees must be promptly reported to the full Committee.

The Committee shall keep minutes of the proceedings of Committee and sub-committee meetings.

 

Committee’s Powers.

The committee have the power to decide on any questions arising from these rules and all other matters connected with the Society except those which can only be dealt with by the Society in the General Meeting.

 

General Meetings

A General Meeting shall be held each year, of which 14 days notice shall be given. 

Voting at a General Meeting shall be open to all members including Junior Members aged 16years and above.

Members prevented from attending may record their votes for Officers and Committee by a signed ballot paper sent to the Secretary.

A special General Meeting may be called at any time at the discretion of the Committee. This meeting should be called within 21 days after the receipt of a requisition in writing to the Secretary and signed by at least 25% of members. Every such requisition shall specify the business for which the meeting is to be convened and no other business shall take place at such meeting. 

 

Disbandment

In the event of the Torrington Players being disbanded, all remaining monies and other assets of the Society shall be distributed among Societies with a similar objective within the local area.
